Terms of Service

These terms cover how engagements with Web-Village Ltd (company no. 14461072), trading as TheWebVillage, work. This page is a general summary — the specifics of any given project (scope, price, and timeline) are set out in the written estimate you approve before work starts, and that document governs where the two differ.

Engagement & scope

Every engagement starts with a free written estimate covering scope, deliverables, and price. Work begins once you approve that estimate. Anything outside the agreed scope — a new feature, an extra page, a change of direction — is treated as a change request and quoted separately before we build it, so costs never move without your sign-off.

Payment

Fixed-scope projects are typically invoiced in stages tied to milestones agreed in the estimate; retainers (like the Content Engine) are billed monthly in advance. Invoices are payable within the terms stated on the invoice. Late payment may pause active work until the account is settled.

Intellectual property

Once an invoice is paid in full, you own the code, designs, and content delivered as part of that engagement outright, with no ongoing licence fee or platform lock-in. Until final payment clears, deliverables remain our property. Open-source components and third-party libraries used in a build remain governed by their own licences.

Confidentiality

Anything you share with us about your business — code, credentials, business plans, customer data — is treated as confidential and used solely to deliver the engagement. We're happy to sign a separate NDA before an engagement starts if you need one.

Warranties & liability

We stand behind the quality of what we ship and will fix defects in delivered work at no extra cost within a reasonable period after handoff. Beyond that, services are provided on an "as available" basis; to the extent permitted by law, our total liability for any engagement is capped at the fees paid for that engagement, and we're not liable for indirect or consequential losses.

Third-party services

Projects often depend on third-party services — hosting, domains, payment processors, AI APIs — that you'll need your own account for unless otherwise agreed in the estimate. We're not responsible for outages, pricing changes, or policy changes on services we don't operate.

Termination

Either party can end an engagement with written notice. You pay for work completed up to that point; retainers are cancel anytime, effective at the end of the current billing month.

Governing law

These terms are governed by the laws of England & Wales, and any dispute is subject to the exclusive jurisdiction of its courts.

Changes to these terms

If these terms change, we'll update the date at the top of this page. Changes don't apply retroactively to an engagement already under a signed written estimate.
